Founders underestimate the part that comes with it: time, advice, experience and access to a network, which are just as valuable as the money.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Angels invest their own money<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A fund manager invests other people&#8217;s capital against a mandate, a committee and a fund life. An angel invests their own, decides alone or in a small group, and answers to nobody.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There is no committee to schedule around, so a decision can come in weeks. There is also no mandate obliging anyone to deploy capital this year, so a merely sound case gets no cheque.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Two angels who saw the same pitch can reach opposite conclusions, and neither owes you a reason, so keep several conversations running and read no single decline as a verdict.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An investor is a business angel even with a five-digit sum of any currency in a startup. Across the European networks <a href=\"https:\/\/www.eban.org\/wp-content\/uploads\/2025\/12\/Stats-Compendium-2024.pdf\">EBAN<\/a> counts, the average investment per angel per deal was about EUR 25,600 in 2024, so expect to assemble several, with a lead who organises them.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What an angel buys: shares or a convertible loan<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Which instrument you offer decides when the company is priced and what the investor can do in the meantime. Both need a general meeting decision.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table><thead><tr><th><\/th><th>Shares<\/th><th>Convertible loan (<em>konvertibelt l\u00e5n<\/em>)<\/th><\/tr><\/thead><tbody><tr><td>What the investor gets now<\/td><td>Ownership: votes, dividend rights, a place in the share register<\/td><td>A claim for repayment with any agreed interest, plus a right to demand shares on agreed terms<\/td><\/tr><tr><td>What you give now<\/td><td>An agreed percentage of the company at an agreed price<\/td><td>A debt on the balance sheet and a dilution you have committed to<\/td><\/tr><tr><td>When the price is set<\/td><td>Now, at the pre-money valuation you negotiate<\/td><td>Later, usually at the next priced round, often with a discount or a cap<\/td><\/tr><tr><td>Company-law basis<\/td><td>A share issue resolved by the general meeting<\/td><td>A loan with a <a href=\"https:\/\/lovdata.no\/lov\/1997-06-13-44\">right to demand shares issued<\/a>, authorised by the general meeting<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">Until the shares are actually issued, a convertible lender is a lender, with no votes, no dividend and no shareholder rights. Either way you end up with a minority co-owner, and probably several.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Menon&#8217;s <a href=\"https:\/\/www.menon.no\/wp-content\/uploads\/12f4494d01.pdf\">2010 report<\/a>, the only Norwegian registry-based study, put the average business angel position at 18 per cent of the company and the median at 17 per cent. No current Norwegian equivalent is published, so treat that as an order of magnitude, and do not plan on giving away three per cent.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The money is the smallest part of the offer<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">At the seed (<em>s\u00e5korn<\/em>) stage, experience is scarcer than capital. A good angel brings operating judgement from having done something comparable, a network that shortens your sales cycle and your hiring, and credibility that makes the next investor take your call.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">None of it arrives unless you ask for it. Ask before you sign, while the answers can still change the terms, and keep a note of what was promised.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Which of my current problems have you solved before, in your own company?<\/li>\n\n\n\n<li>Who are the three customers or hires you could introduce me to in the first month?<\/li>\n\n\n\n<li>How many hours a month do you expect to spend on this, and doing what?<\/li>\n\n\n\n<li>Which of your portfolio founders can I call, including one whose company did not work?<\/li>\n\n\n\n<li>Do you want a board seat, an observer seat, or neither?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">An angel who cannot name a single introduction is offering capital only, which is a fair offer if you price it as such.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What angels expect from you in return<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">None of this is in the term sheet, and you will be judged on it anyway. Send a written update with the numbers in it (cash position, runway, revenue, the month&#8217;s hires and losses) on a fixed rhythm, without being chased.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An angel who learns about a lost anchor customer three months late loses confidence in everything else you have told them. The same news on the day it happens is a problem you solve together, and often the moment the network becomes useful.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Expect the angel to want a say in major decisions such as new share issues, changes to the board and a sale of the company. Some will want a board seat, a working appointment with statutory duties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">All of them expect the company to be run toward an eventual exit, because a share in a Norwegian private company pays out in essentially no other way.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The timeline an angel accepts and holds you to<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">From portfolio experience, an angel expects a minimum of five to seven years before any exit, and knows that most startups take fifteen to twenty years to get there.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Angel holding periods <a href=\"https:\/\/teten.com\/how-long-before-angel-investors-and-vcs-get-liquidity\/\">compiled across the literature<\/a> range from about 4.8 to 8 years, and the classic US angel-returns data found successful investments returning around 2.9 times capital over an average 5.8-year hold. Angels invest earlier than funds, so add a year or two to any figure drawn from fund data.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nobody can demand their money back next year; there is no mechanism for it and no market to sell into. In exchange for that patience, the investor expects the company to still be pointed at an outcome in year six. If you want a comfortable, profitable business you never sell, angel money is the wrong instrument.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Of Norwegian limited companies founded in 2015, 43.8 per cent were still trading five years later; of those founded in 2019, the most recent cohort <a href=\"https:\/\/www.ssb.no\/statbank\/table\/10219\/\">SSB<\/a> has followed, 60.8 per cent reached their first anniversary.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An angel goes in expecting a chance of a big payday if they are lucky and a real risk of losing all the capital invested. Your investor has accepted that, so there is no reason to soften your own numbers when you present them.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How Norwegian angels actually invest<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Most NorBAN investments are syndicated. The interested investors set up a joint investment company, put their capital into it, and that company invests in the startup. For you that means one shareholder instead of nine, one counterparty, and one lead angel who assembles the others.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">NorBAN publishes <a href=\"https:\/\/www.norban.no\/no\/services\/get-funding\/how-angels-invest\/\">figures on how its members invest<\/a>. Size the round, and the ticket you ask each investor for, against them.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Most tickets are between 0.5 and 2 MNOK. Round-filling tickets have a median around 100,000 kroner, the larger tickets around 1 million.<\/li>\n\n\n\n<li>Angels writing 2 to 5 MNOK or more are a small minority. Roughly one in six can anchor or lead a round.<\/li>\n\n\n\n<li>Most can take an active or a passive role depending on the company, and about one in five require a board seat.<\/li>\n\n\n\n<li>Fewer than a third have capacity to follow on, so expect to find new core investors for each round.<\/li>\n\n\n\n<li>Most offer something besides money, most often technology and product, then operating experience as a founder or through an exit, then commercial and go-to-market, then finance and fundraising.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You convince the lead, and the lead convinces the rest without you in the room, so written material that stands alone matters more than presentation skill. What that means depends on where you are.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>First raise.<\/strong> Reference calls matter most, because you have no investor history of your own. Ask the founder whose company failed how the angel behaved when the news was bad.<\/li>\n\n\n\n<li><strong>No lead yet.<\/strong> Ask each angel first whether they can lead; one who cannot can usually name one who can. Find the lead before you fill the round, because a round of 100,000-kroner tickets has nobody to run it.<\/li>\n\n\n\n<li><strong>A lead in place.<\/strong> Give the lead a written case that survives without you, and agree with them what each of the others is being asked for and who will be active.<\/li>\n\n\n\n<li><strong>Second raise.<\/strong> Fewer than a third of your first-round angels can follow on, so ask early which will, and ask the rest for introductions. A new angel&#8217;s network is what you are buying; ask what they add that your current investors do not.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The route in is <a href=\"https:\/\/www.norban.no\/no\/services\/get-funding\/\">published<\/a>. You submit your company, NorBAN publishes it to its investors, and it runs dealflow sessions where companies present. Every investment decision after that sits with the individual angel.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Investors already connected to NorBAN can also bring companies from their own portfolio to the monthly angel mixers, so an angel already on your cap table is your warmest route in.
