Subscription and share purchase agreements (tegningsavtale, aksjekjøpsavtale)

Buying existing shares and subscribing for new ones involve different legal rules. A purchase gives you a seller to claim against. In a subscription, the investment agreement and company-law remedies matter, and registration sharply limits your ability to undo the subscription.
