Five sources, five prices
Every funding source costs something: equity means ownership and another shareholder; grants (tilskudd) require applications, agreed plans and reporting; loans require repayment even if the plan fails. Equity crowdfunding may bring many shareholders.
Compare costs before accepting money. Companies often combine two or three sources over several years. Start with sources suited to your stage: a strong case cannot overcome a mismatch.
| Source | Suitable stage | Cost and timing |
|---|---|---|
| Angels | Pre-seed and seed, before many funds invest. Tens of thousands to millions of kroner, often pooled. | Ownership, involvement and reporting. Plan two to four months; no guarantee. |
| Venture capital | Seed onward; evidence requirements vary. Can exceed angel-round amounts. | Ownership, often board seats, exit terms and later fundraising. Allow months. |
| Grants and public loans | Idea stage onward, depending on programme. | Usually no dilution. Applications, eligible costs, reporting and any co-financing; loans require repayment. Payment timing varies. |
| Bank loans and other debt | Demonstrable repayment capacity and required security. | Repayment, interest and any security or guarantees. Personal guarantors risk repayment liability. Approval and timing vary by lender. |
| Equity crowdfunding | Companies attracting public-campaign investors, including customers. | Platform fees, campaign work and potentially many shareholders. Check ownership structure and administration. |
Angels: personal money, early, with an owner attached
An angel invests their own money through shares or a convertible loan, at a stage most funds will not consider and on more flexible terms. For most Norwegian startups it is the first external equity.
The price is a real minority stake and a shareholder who expects to be involved. NorBAN’s published figures put most tickets between half a million and two million kroner and the angels able to anchor a round at roughly one in six, so a pre-seed round is assembled from several angels.
Angels may pool investments through a joint company, giving you one shareholder and a larger combined investment.
Venture capital: fund money with fund logic
Funds invest others’ money within a mandate, fund life and committee process. They need defensible evidence: revenue, growth and a team that has delivered. They typically invest more than angel rounds, take larger stakes and often board seats, with exit-focused terms.
Most pre-seed companies are too early for it. Funds also expect you to raise from further funds, so they judge whether your plan will produce the evidence needed for the next round.
The money also competes across borders. NVCA’s activity survey for 2025 recorded Norwegian managers deploying NOK 2.4 billion in early stage while investment into Norwegian companies fell to its lowest level since 2018.
Grants and public loans: Innovation Norway and SkatteFUNN
Non-dilutive funding still takes time and brings obligations. Innovation Norway offers staged early grants and loans, plus thematic development schemes. Names, amounts and conditions change: check its financing pages.
Check the award letter for required co-financing, documentation and payment dates. Some grants allow an advance; others reimburse documented costs. For example, Oppstartstilskudd 1 allows up to half the grant at the start, with the balance after completion. Plan enough cash to cover costs before reimbursement (payment and reporting).
State-aid rules and each programme’s terms determine which costs qualify and how much support is available. Private matching capital is not a universal requirement: Oppstartstilskudd 1 can cover all eligible externally invoiced costs within its limit. Costs outside the award and expenses paid before reimbursement still need financing.
SkatteFUNN gives a statutory deduction for eligible costs in approved R&D projects. Different legal forms qualify if registered in Brønnøysundregistrene, Norwegian-taxable and meeting scheme conditions. The Research Council approves projects and publishes rates and limits; an auditor certifies claimed project costs.
The Tax Administration gives the support as a tax deduction or a payment if the deduction exceeds the tax payable. Settlement normally follows the cost year. You therefore need cash to pay project expenses before the support arrives; this is a timing constraint, not a ban on using a later payment for current salaries.
Public support can carry obligations after the project ends. When support covers the same eligible costs, the applicable aid limits can reduce the combined award; an Innovation Norway grant can therefore affect the SkatteFUNN deduction. Check the terms for each award. For Research Council grants governed by its general terms, a change of control to a buyer outside the EEA can trigger immediate written notification during the project and for three years afterwards, and conditions on the results or repayment. Do not assume those grant-contract terms automatically apply to SkatteFUNN.
Bank loans and other debt
Banks assess repayment capacity and security. Even asset-owning companies struggle to borrow with uncertain cash flow. If required, a founder’s personal guarantee can create liability despite company failure, within its terms. Not every startup loan requires one.
A public loan is still debt. Innovation Norway’s startup loan takes security in available company assets; transferable IP can be included in security over operating assets. Debt claims rank ahead of shareholders’ residual equity, subject to security and insolvency rules. The programme also restricts interest and repayment on contributed financing until its loan is repaid.
Innovation Norway’s loan guarantee covers most of a bank’s loss on a loan to an innovative company that can show repayment capacity and lacks collateral; the bank keeps part of the risk, and the company pays a guarantee commission on top of the interest.
Equity crowdfunding (folkefinansiering)
Offering crowdfunding services requires an authorisation. The Crowdfunding Act (lov om folkefinansiering av næringsvirksomhet), in force from 1 August 2026, incorporates the EU crowdfunding regulation, Norwegian providers apply to Finanstilsynet, and its register of supervised entities lists who holds a crowdfunding authorisation. Check the platform’s authorisation in that register when you assess it.
An authorised EEA provider can offer services in Norway after the required cross-border notification. An investment-firm licence is a different permission and does not automatically replace a crowdfunding authorisation. Investor protections depend on the applicable regime and service: crowdfunding rules give non-sophisticated investors a knowledge assessment, loss-bearing simulation and reflection period. Check which rules the platform relies on.
Existing providers covered by the transition may continue under the previous rules until one year after the Act took effect, or until they receive the new authorisation, whichever comes first. Confirm that the particular provider and service qualify. The regime covers business financing; offers by one project owner exceeding EUR 5 million over twelve months fall outside it.
Any offer to the public also raises the prospectus question. Verdipapirhandelloven § 7-1 incorporates the EU Prospectus Regulation; § 7-3 and § 7-5 set the bands, with a lighter national prospectus registered in Foretaksregisteret for the middle band, and § 7-6 carries the exemptions. The bands are euro amounts over a rolling twelve months, and Finanstilsynet publishes the current values.
Compare platform fees for investors you bring versus those it attracts. Secure initial interest yourself. Campaigns can reach new investors, including customers who become shareholders and recommend the company.
If investors subscribe directly, each new shareholder is entered in the company’s share register. That can mean hundreds of entries. A shared investment company creates a different structure, with its own costs and rules. Do not assume that an ordinary AS can simply hide direct shareholders behind a nominee entry.
For a later share issue, the general meeting normally decides unless the board has a valid mandate. A meeting normally requires notice to every shareholder at least one week in advance; the articles may require longer, and simplified procedures have their own conditions. Setting aside statutory pre-emption rights on a cash issue requires the majority for an articles amendment: at least two thirds of both votes cast and represented share capital. A board mandate must expressly permit this departure.
Later institutional investors may seek fewer direct shareholders. Pooling existing holdings requires a lawful transaction, shareholder agreement or another legal basis, and tax and cost assessment. The startup cannot impose it administratively. The shared company also needs administration.
Settle before the campaign whether you are prepared to rebuild the register at the next investor’s request, and who pays when you do.
Combining sources over a raise
Norwegian companies combine these sources over successive rounds. Each equity round funds a milestone. Between rounds, a grant extends the runway without repricing the company, while SkatteFUNN refunds part of last year’s development cost. The next equity round then funds the next milestone.
Your cap table records how you financed the company, and the next investor reads it. Angels who followed on, a grant reported cleanly and no debt for the new round to repay suggest that you planned the financing carefully. A convertible loan taken after a milestone slipped will prompt questions about that delay.
